Welcome to LineUpz. These Terms and Conditions ("Terms") form a binding legal agreement between you ("User", "you", or "your") and Mr Pelli Pty Ltd (ABN 74 149 507 031), trading as LineUpz ("we", "us", "our", or "LineUpz"), governing your use of the LineUpz platform, website (lineupz.ai), mobile applications, and all related services (collectively, the "Services").
The Services include, but are not limited to, queue management, point of sale (POS), appointment booking, customer check-in kiosks, gift cards, customer communications (including SMS notifications), reporting and analytics, and integrated payment processing facilitated through third-party providers.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Services.
Subject to these Terms, LineUpz grants you a non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business operations. This licence covers all features of the platform available to your account, including queue management, POS, booking, kiosk, gift cards, customer communications, and any integrated payment processing functionality.
You are expressly prohibited from sublicensing, reselling, redistributing, or making the Services available to any third party as a hosted or managed service, unless separately agreed in writing.
To access the Services, you must create an account. When registering, you agree to provide true, accurate, current, and complete information and to maintain and promptly update that information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any other security breach.
If you create accounts for employees, contractors, or other staff, you are responsible for their compliance with these Terms and for any actions taken through those accounts.
In using the Services, you agree not to:
The Services, including all software, content, text, images, video, audio, designs, and documentation, are protected by intellectual property laws. LineUpz retains all rights, title, and interest in the Services (including all intellectual property rights) and reserves all rights not explicitly granted under these Terms. Your use of the Services grants you no right or licence to reproduce or otherwise use any LineUpz or third-party trademarks.
The Services may include integrated payment processing functionality, enabling you to accept card payments and other electronic payment methods from your customers. Payment processing is provided by independent third-party payment processors and acquirers (each, a "Payment Processor"), not by LineUpz.
LineUpz is not a payment processor, payment facilitator, bank, or financial institution. LineUpz provides the technology layer that connects your business to Payment Processors. All payment transactions are processed, settled, and managed by the relevant Payment Processor under their own terms, merchant agreements, and regulatory obligations.
When you activate payment processing through the Services, you may be required to enter into a separate merchant agreement directly with the relevant Payment Processor. That agreement governs the processing of your transactions, settlement of funds, chargebacks, disputes, refunds, and all related matters. You are responsible for reading, understanding, and complying with that agreement.
LineUpz does not store, process, or have access to your customers' full card numbers, CVVs, or PINs. All sensitive cardholder data is handled directly by the Payment Processor in accordance with Payment Card Industry Data Security Standards (PCI DSS). You agree not to capture, store, or record any cardholder data outside of the systems provided by the Payment Processor.
The timing and method of settlement of transaction funds to your nominated bank account is determined by the Payment Processor, not by LineUpz. LineUpz is not responsible for any delays, holds, freezes, or failures in settlement by a Payment Processor, including where a Payment Processor withholds funds due to suspected fraud, chargebacks, regulatory requirements, or breach of their terms.
Where the Services support split settlement (the distribution of a single transaction's proceeds across multiple parties), this functionality is facilitated by the Payment Processor. LineUpz provides the configuration layer but does not hold, route, or control the movement of funds. Any errors, delays, or disputes in split settlement are matters between you and the Payment Processor.
Where a Payment Processor or its affiliates offer lending, credit, or financing products to you or your customers through the Services, those products are provided by the Payment Processor or a licensed credit provider, not by LineUpz. LineUpz is not a credit provider, credit intermediary, or financial adviser. Any lending or credit arrangement is subject to the terms of the relevant credit provider. LineUpz accepts no liability for the approval, rejection, terms, or administration of any lending or credit product.
Payment processing fees are charged by the Payment Processor in accordance with your merchant agreement with them. LineUpz may also charge a platform fee in connection with payment transactions, as set out in your subscription or pricing agreement with LineUpz. All fees will be disclosed to you before activation of payment processing. LineUpz may update its platform fees with 30 days' written notice.
Chargebacks, payment disputes, and refund requests are processed by the Payment Processor under the rules of the relevant card network (Visa, Mastercard, eftpos, American Express, etc.). LineUpz is not a party to chargeback or dispute proceedings and has no ability to reverse, override, or influence the outcome of any chargeback or dispute. You are responsible for responding to chargebacks and disputes in accordance with your Payment Processor's procedures.
To the maximum extent permitted by law, LineUpz excludes all liability for any loss, damage, cost, or expense arising out of or in connection with payment processing, including but not limited to: failed or delayed transactions; incorrect settlement amounts; funds held or frozen by a Payment Processor; chargebacks; errors in split settlement; unauthorised transactions; and any act, omission, or default of a Payment Processor. Your sole recourse for any payment processing issue is against the relevant Payment Processor.
Where LineUpz charges a platform fee or service fee to end customers on your behalf, you acknowledge and agree that this fee is charged by LineUpz for the use of the platform and is not a card surcharge. The platform fee is separate from and in addition to any payment processing fees charged by the Payment Processor.
The Services involve the collection and use of personal information from your customers, including names, phone numbers, email addresses, and visit history, for purposes including queue management, appointment reminders, SMS notifications, and promotional communications.
You represent and warrant that you have obtained all necessary consents from your customers to allow LineUpz to collect, use, store, and disclose this information in accordance with our Privacy Policy, the Privacy Act 1988 (Cth), the Australian Privacy Principles, and any other applicable privacy or data protection legislation in your jurisdiction.
You are responsible for ensuring that any SMS or electronic communications sent through the Services comply with the Spam Act 2003 (Cth), the Telecommunications Act 1997 (Cth), the US CAN-SPAM Act, the US Telephone Consumer Protection Act (TCPA), and any equivalent legislation in your jurisdiction. LineUpz provides the tools for communication but does not monitor or approve individual messages. You are solely responsible for the content and legality of messages sent through the Services.
Our data handling practices are described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you consent to the collection, use, and disclosure of information as outlined in the Privacy Policy.
To the extent that LineUpz processes personal information on your behalf, LineUpz acts as your agent or service provider for the purposes of applicable privacy legislation. You remain the primary controller of your customers' personal information and are responsible for compliance with applicable privacy laws.
We aim to provide a high-quality, continuously available service, but we do not guarantee that the Services will always be available, uninterrupted, or error-free. Maintenance, updates, and unforeseen technical issues may lead to temporary interruptions or downtime. We will make reasonable efforts to notify you in advance of any planned downtime. LineUpz is not liable for any loss arising from service interruptions, including lost sales or missed appointments.
LineUpz reserves the right to modify, update, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time. Material changes will be communicated to you via email or a notice within the Services at least 14 days before they take effect. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with any changes, you may terminate your account.
Access to the Services, or to certain features of the Services, may require you to pay subscription fees or other charges as set out in your pricing agreement or as displayed within the Services. Fees are subject to change with 30 days' notice. Your continued use of the Services after a fee change takes effect constitutes your agreement to pay the updated amount.
All fees are exclusive of GST and other applicable taxes unless stated otherwise. If you are located in Australia, GST applies in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
You may upload or share content through the Services, including business branding, service descriptions, images, and promotional material. You retain all rights in your content and are solely responsible for it. By uploading content, you grant LineUpz a worldwide, non-exclusive, royalty-free licence to use, host, store, reproduce, modify, and display that content solely for the purpose of operating and providing the Services. This licence ends when you delete the content or close your account, except where the content has been shared with other users or incorporated into aggregate or anonymised data.
You may terminate your account at any time by contacting us or through your account settings. LineUpz may terminate or suspend your access to the Services at any time, with or without cause, with or without notice, if you breach these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe is harmful to LineUpz, other users, or third parties.
Upon termination, your right to use the Services will immediately cease. You may request a copy of your data within 30 days of termination, after which we may delete it. All provisions of these Terms which by their nature should survive termination will survive, including intellectual property, payment obligations, indemnity, limitation of liability, and dispute resolution.
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. LineUpz does not warrant that the Services will be uninterrupted, error-free, or completely secure. LineUpz does not warrant that payment processing will be available, timely, or free of errors.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any equivalent legislation in your jurisdiction that cannot be excluded, restricted, or modified by agreement.
To the maximum extent permitted by law, LineUpz's total aggregate liability to you for all claims arising out of or in connection with the Services or these Terms is limited to the total fees paid by you to LineUpz in the twelve (12) months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by law, LineUpz will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings, regardless of the cause of action or theory of liability, even if LineUpz has been advised of the possibility of such damages.
Without limiting the above, LineUpz will not be liable for any loss, damage, or expense arising from: (a) the acts, omissions, or defaults of any Payment Processor; (b) failed, delayed, or incorrect payment transactions; (c) chargebacks, payment disputes, or funds held by a Payment Processor; (d) the terms, conditions, or decisions of any Payment Processor or credit provider; (e) any lending or credit product offered through the Services; or (f) your failure to comply with the terms of your merchant agreement with a Payment Processor.
You agree to indemnify, defend, and hold harmless LineUpz, its officers, directors, employees, and agents from and against any claim, demand, damage, cost, or expense (including reasonable legal fees) made by any third party arising out of: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; (d) any content you upload or share through the Services; (e) your failure to obtain required consents from your customers; or (f) any payment processing dispute or chargeback arising from your transactions.
Resellers and referral partners participating in any LineUpz partner program are independent contractors and are not employees, agents, or representatives of LineUpz. Any commission or compensation paid to a reseller or referral partner is for sales or referrals generated and does not create an employment relationship. Resellers are solely responsible for their own tax obligations.
Any information, advice, or representations made by resellers or referral partners regarding LineUpz or the Services are their own and do not bind LineUpz. LineUpz is not liable for any misinformation or misrepresentations made by resellers or referral partners.
LineUpz may offer hardware devices (including check-in kiosks, tablet stands, POS terminals, and display screens) for purchase or rental. This section governs all hardware transactions with LineUpz.
All hardware orders are subject to our acceptance and availability. Prices are as listed at the time of order and exclude applicable taxes unless stated otherwise. For purchases, full payment is due at checkout or per invoice. For rentals, recurring payments are due according to the agreed rental schedule. Late or failed payments may result in suspension of services, withholding of shipments, or termination of rental rights.
Shipping dates and delivery estimates are not guaranteed. For purchases, risk of loss passes to you upon delivery. For rentals, LineUpz retains ownership of the hardware and you assume risk of loss or damage during the rental period.
The rental period begins on the date of delivery and continues until the agreed return date or termination. You must use rental hardware lawfully, for its intended purpose, and protect it from damage, misuse, or theft. Upon expiration or termination, you must promptly return the hardware in substantially the same condition (fair wear and tear excepted). Failure to return hardware may result in replacement charges.
Ownership of purchased hardware transfers upon receipt of full payment. Hardware may come with a manufacturer's warranty, which LineUpz will pass through where permissible. Otherwise, hardware is provided "as is." All hardware purchases are final unless a separate return policy applies.
LineUpz will not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including natural disasters, pandemics, strikes, government actions, internet or telecommunications failures, power outages, or acts of third parties (including Payment Processors).
If a dispute arises in connection with these Terms or the Services, the parties agree to first attempt to resolve it through good faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) in accordance with its mediation rules. If mediation does not resolve the dispute within 60 days, either party may commence court proceedings.
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and any courts of appeal from those courts.
These Terms, together with the Privacy Policy, any pricing agreement, and any separate merchant agreement with a Payment Processor, constitute the entire agreement between you and LineUpz regarding the Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No failure or delay by LineUpz in exercising any right under these Terms constitutes a waiver of that right.
You may not assign or transfer your rights under these Terms without our prior written consent. LineUpz may assign its rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of assets, provided that the successor agrees to be bound by these Terms.

Where the Services include payment processing, sensitive cardholder data (card numbers, CVVs, PINs) is collected and handled directly by the relevant third-party Payment Processor, not by LineUpz. LineUpz may receive and store non-sensitive transaction data, including transaction amounts, timestamps, payment method type (e.g., Visa debit, Mastercard credit), and transaction status for the purposes of reporting, reconciliation, and providing the Services.
We automatically collect certain information when you use the Services, including IP addresses, browser type, device type, operating system, referring URLs, pages visited, and usage patterns. We use cookies and similar technologies for analytics, functionality, and service improvement.
